In this article – “Tax avoidance in Canada and the future of GAAR” – we review the federal government’s intention to modernize Canada’s anti-avoidance rules, including the GAAR; the release of the government’s consultation paper that describes potential sweeping changes to the GAAR; the proposal to change the burden of proof in GAAR cases; how the proposed changes would significantly narrow taxpayers' ability to plan commercial transactions in a tax-efficient manner; how the changes would undercut longstanding GAAR case law and undermine the very principles of certainty and predictability that the government seeks to preserve; and expected forthcoming guidance from the Supreme Court of Canada on the interpretation and application of the GAAR.

In this article – “The perils of evidentiary ‘Jenga towers’ in securities class actions" – we review a series of securities class action decisions in 2022 where Ontario courts provided useful guidance on elements of the statutory cause of action for secondary market misrepresentation; the gatekeeping role of leave motion judges; guidance on what constitutes a material change for purposes of the Securities Act (Ontario); the substantial evidentiary burden imposed on plaintiffs seeking to bring statutory secondary market claims based on forward-looking statements by management about future risks; the requirement for cogent evidence where technical disclosures do not reveal any obvious misrepresentation on their face; and the court’s role in scrutinizing plaintiffs’ evidence at the leave stage.

In this article – “Treaty rights and resource development: The cumulative effects claims begin to pile up” – we review the rise in cumulative effects treaty infringement claims in 2022; the B.C. Supreme Court decision in Yahey that the province’s regulatory regime did not appropriately consider or assess the cumulative impact of development on Blueberry River’s treaty rights.; the B.C. government’s decision to enter into negotiations with Blueberry River to assess and manage the cumulative impacts of industrial development; Duncan’s First Nation claim against the Alberta government alleging an unjustifiable infringement of their treaty rights based on the cumulative effects of development in their traditional territory; and a claim brought by Chapleau Cree First Nation, Missanabie Cree First Nation and Brunswick House First Nation against the Ontario government alleging that cumulative impacts from development have infringed their treaty rights.
